Terms and Conditions for Noodl

1. Acceptance of Terms

By downloading, installing, or using Noodl (“the App”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not use the App.

The App is developed and provided by The OG Developer (“we,” “us,” or “our”). We reserve the right to update these Terms at any time. Continued use of the App after changes constitutes your acceptance of the updated Terms.

2. Description of Service

Noodl is a task management and focus timer application for Android devices. The App provides:

Task capture, organization, and completion: Home shows today’s tasks, and Plan holds scheduled tasks and parked ones (tasks with no date, including anything unfinished from an earlier day, which moves there overnight)
Focus timer sessions with configurable durations
Jotted thought notes during focus sessions
Cumulative focus time tracking
Local data export (CSV of tasks, thoughts and focus sessions)
Daily reminder notifications (optional)
A home-screen widget and Quick Settings tiles

The App is designed as a productivity tool. It is not a medical device, diagnostic tool, or treatment for ADHD or any other condition.

3. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes on devices that you own or control.

You may not:

Copy, modify, or create derivative works of the App
Reverse engineer, decompile, or disassemble the App
Remove any proprietary notices or labels from the App
Resell, redistribute, or sublicense the App
Use the App in any unlawful manner

4. No User Accounts

Noodl does not provide user accounts, cloud synchronization, or multi-device support. Your data is stored on your device. This means:

Android backup is how your data moves to a new phone. Noodl lets Android back up its data to your own Google account (end-to-end encrypted with your screen lock) and copy it during device-to-device transfer. Whether that happens depends on your phone’s backup settings, which you control. We have no copy.
The CSV export (Settings > Data & Privacy > Export) is a readable copy for you to keep. Noodl cannot import it back.
If you lose your device, uninstall the app, or clear app data, and there is no Android backup, your data is permanently lost. We cannot recover it.
There is no account recovery process. We have no access to your tasks, notes, focus sessions, or preferences.

5. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The App will be uninterrupted, secure, or error-free
The quality of the App will meet your expectations
Any defects or errors in the App will be corrected
Your data will always be safe (see Section 4)

To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied.

6. Limitation of Liability

IN NO EVENT SHALL THE OG DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

Our total liability for any claim arising out of or relating to these Terms or the App shall not exceed the amount you paid (if any) to use the App.

Some jurisdictions do not allow the exclusion or limitation of liability, so the above limitation may not apply to you.

7. Data and Privacy

Your use of the App is also governed by our Privacy Policy. By using the App, you consent to the data practices described in the Privacy Policy, including:

Storage of your personal content (tasks, notes, focus sessions) on your device, and in your own encrypted Android backup if your phone’s backup is on
Automatic crash reporting via Firebase Crashlytics, which is always on
Usage analytics via Firebase Analytics, only if you turn them on
Voluntary submission of feedback and bug reports to our AWS-hosted backend

You acknowledge that:

We do not have access to your task content, notes, or jotted thoughts
We cannot recover your data if you lose your device or uninstall the app
Keeping a backup (Android backup or your own export) is your choice and responsibility

8. Feedback and Bug Reports

If you submit feedback, bug reports, or suggestions to us:

You grant us a perpetual, worldwide, non-exclusive, royalty-free license to use, modify, and implement any ideas, concepts, or suggestions you provide
You acknowledge that feedback is voluntary and you will not be compensated for it
You are responsible for ensuring that any feedback you provide does not include confidential or proprietary information belonging to others

9. Third-Party Services

The App integrates with or references the following third-party services:

Firebase (Google) — Crash reporting (always on) and analytics (only if you turn them on)
Amazon Web Services (AWS) — Backend for feedback/bug report submissions
Open Source Libraries — Including OkHttp, Timber, Kotlin Coroutines, Room, Hilt, Jetpack Compose, and others

These services are governed by their respective terms and privacy policies. We are not responsible for the practices of these third-party services.

A list of the open source libraries used in the App, with their licences, is available in-app via Settings > Open-source licences.

10. Intellectual Property

The App, including its code, design, text, graphics, and functionality, is owned by The OG Developer and is protected by intellectual property laws. All rights not expressly granted in these Terms are reserved.

“Noodl” and associated branding are the property of The OG Developer.

11. Modifications to the App

We reserve the right to modify, suspend, or discontinue the App (or any part of it) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.

12. Modifications to These Terms

We may revise these Terms at any time. The “Last updated” date at the top of this page reflects the most recent revision. By continuing to use the App after changes are posted, you accept the revised Terms.

We recommend reviewing these Terms periodically.

13. Termination

We may terminate or suspend your access to the App at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the App will immediately cease. Sections 4, 5, 6, 7, 8, 10, and 14 of these Terms survive termination.

14. Governing Law

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the App will be resolved by the courts of India.

If you use the App as a consumer, nothing in these Terms takes away the protection you have under the mandatory consumer laws of the country where you live.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms otherwise remain in full force and effect.
